    Duconti Ltd. will retain customer data for the duration of the contractual relationship and subsequently for compliance with legal obligations. Likewise, both data from former customers and from customers or users will be retained for promotional actions for a period of 5 years, not being kept longer than necessary for the aforementioned purposes, without prejudice to retention that may be necessary for the formulation, exercise, or defense of potential claims and/or as allowed or required by applicable legislation. Data for the management of inquiries and requests will be kept for the time necessary to respond to them and for a maximum period of 5 years.

    Duconti Ltd. is committed to complying with the duty of custody and confidentiality of data and its obligation of secrecy.   • Company Legal Agreement of Duconti Ltd.

    LEGAL DOCUMENT

    This Legal Document ("Agreement") is made and entered into as of 04-07-2022, by and between Duconti Ltd., a Gibraltar corporation with its principal place of business at Level 1 1-7 Crutchetts Ramp, GX11 1AA Gibraltar ("Duconti"), and its future clients, hereby called ("Counterparty").

    WHEREAS, (Exhibit A) Duconti Ltd. is a business development consulting company, specializing in the development and coaching of businesses and persons, through explicit transformational products and services, and “Counterparty” is fully aware of the core business of Duconti Ltd. where he or she is getting involved in.

    Payments of invoices shall be payed by bank transfer or credit card within 14 days of purchase of any products of Duconti Ltd. to our bank account number as shown on the invoice.

    WHEREAS, The parties wish to enter into an agreement that governs their relationship and the terms under which they will engage in mutually beneficial business activities.

    NOW, THEREFORE, in consideration of the mutual promises, covenants, and conditions contained herein, the parties agree as follows:

    1. Services and Deliverables

    a. Duconti Ltd. shall provide the services and deliverables as detailed in the attached Exhibit A, which forms an integral part of this Agreement.

    2. Payment Terms

    a. Counterparty agrees to pay Duconti Ltd. the fees as specified in Exhibit A, in accordance with the payment schedule set forth therein.

    b. Payment shall be made in the currency specified in Exhibit A and shall be subject to any applicable taxes or withholdings required by law.

    3. Confidentiality

    a. Both parties acknowledge that during the course of their engagement, confidential information may be disclosed. Each party agrees to keep confidential any non-public information received from the other party and to use such information only for the purposes of fulfilling the obligations under this Agreement.

    4. Intellectual Property

    a. All intellectual property rights related to the services, products, or deliverables provided by Duconti Ltd. shall remain the exclusive property of Duconti Ltd.

    b. Counterparty shall not use, reproduce, modify, or distribute any intellectual property of Duconti Ltd. without obtaining prior written consent.

    5. Term and Termination

    a. This Agreement shall commence on the effective date stated above and shall continue until the completion of the services, unless terminated earlier as provided herein.

    b. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to remedy such breach within 30 days of receiving written notice specifying the breach.

    6. Limitation of Liability

    a. In no event shall either party be liable to the other for any indirect, special, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.

    7. Governing Law and Jurisdiction

    a. This Agreement shall be governed by and construed in accordance with the laws of Gibraltar, without regard to its conflict of law principles.

    b. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Gibraltar.

    8. Entire Agreement

    a. This Agreement, together with its attached exhibits, constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
